Intellectual Property Assignment Agreement

1. Parties

This Intellectual Property Assignment Agreement ("Agreement") is entered into between:

This Agreement covers the following specific Work Product delivered by Awtad LLC:

3. Assignment of Rights

Upon execution of this Agreement and confirmation of full payment, Awtad LLC ("Assignor") hereby assigns, transfers, and conveys to the Client ("Assignee") all right, title, and interest in and to the Work Product described in Section 2, including:

• All copyrights and copyright registrations
• All design rights and visual elements created exclusively for this project
• All source code, scripts, and custom-developed software components
• All written content, copy, and text created for the project
• All graphics, logos, and visual assets created exclusively for this project

4. What Is NOT Included in This Assignment

The following are not transferred under this Agreement:

• Third-party components: Any open-source software, plugins, libraries, fonts, stock images, or licensed assets used in the project remain subject to their original licenses
• Awtad LLC frameworks and templates: Any pre-existing code, design systems, or tools developed by Awtad LLC prior to this project
• Portfolio rights: Awtad LLC retains the right to display the Work Product in its portfolio, case studies, and marketing materials unless otherwise agreed in writing
• Methodology and know-how: The general knowledge, processes, and techniques used to create the Work Product

5. Conditions of Assignment

This assignment is conditional upon:

• Full payment: All invoices related to this project have been paid in full with no outstanding amounts
• Execution of this Agreement: Both parties have signed this document

Prior to fulfillment of both conditions, all intellectual property rights remain exclusively with Awtad LLC. The client has no right to use, publish, sell, or distribute the Work Product.

6. Warranties

Awtad LLC warrants that:

• It has the right to assign the intellectual property described in Section 3
• To the best of its knowledge, the Work Product does not infringe on any third-party intellectual property rights
• The Work Product has not been previously assigned or licensed exclusively to any other party

7. Further Assurances

Awtad LLC agrees to execute any additional documents and take any actions reasonably necessary to perfect or record this assignment upon request from the Assignee.

8. Governing Law

This Agreement is governed by the laws of the State of New Mexico, United States.
